Welcome to Zenith VoIP. These Terms of Service (“Terms”) govern your access to and use of the services, website, applications, and telecommunications solutions provided by Zenith VoIP.
By accessing or using our services, you agree to be bound by these Terms. If you do not agree, you may not use our services.
1. Services
Zenith VoIP provides Voice over Internet Protocol (VoIP), cloud communications, business telephony, messaging, and related telecommunications services.
We reserve the right to modify, suspend, or discontinue any part of our services at any time without prior notice.
2. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to use our services.
If you are using the services on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.
3. Account Registration
To access certain services, you may be required to create an account.
You agree to:
- Provide accurate and complete information.
- Keep your account credentials secure.
- Notify us immediately of any unauthorized use of your account.
- Be responsible for all activities conducted through your account.
4. Acceptable Use Policy
You agree not to use our services for:
- Illegal, fraudulent, or deceptive activities.
- Transmitting spam, unsolicited communications, or robocalls that violate applicable laws.
- Harassment, abuse, threats, or unlawful conduct.
- Distributing malware, viruses, or harmful code.
- Violating the rights of any third party.
Zenith VoIP reserves the right to suspend or terminate services that violate this policy.
5. Compliance with Laws
Users are solely responsible for ensuring compliance with all applicable federal, state, local, and international laws, including but not limited to:
- Telecommunications regulations.
- Consumer protection laws.
- Privacy and data protection laws.
- TCPA (Telephone Consumer Protection Act).
- CAN-SPAM Act.
- FCC regulations.
6. Emergency Services (911 Disclaimer)
VoIP services may differ from traditional telephone services.
Customers acknowledge that:
911 functionality may not operate during power outages, internet outages, or service interruptions.
Location information may not automatically update if services are used from a different location.
Users are responsible for providing and maintaining accurate emergency location information.
Zenith VoIP is not liable for any inability to contact emergency services resulting from service interruptions or inaccurate information.
7. Billing and Payments
Customers agree to pay all applicable fees and charges associated with their services.
- Fees are billed according to the selected service plan.
- Payments are due upon receipt unless otherwise agreed.
- Late payments may result in suspension or termination of services.
- All fees are non-refundable unless expressly stated otherwise.
8. Number Porting
Customers requesting telephone number porting authorize Zenith VoIP to act on their behalf to facilitate number transfers.
Porting timelines depend on third-party carriers and regulatory requirements. Zenith VoIP does not guarantee completion dates.
9. Service Availability
While we strive to maintain reliable service, we do not guarantee uninterrupted or error-free operation.
Service availability may be affected by:
- Internet connectivity issues.
- Third-party network failures.
- Maintenance activities.
- Force majeure events.
10. Intellectual Property
All content, trademarks, logos, software, and materials associated with Zenith VoIP remain the exclusive property of Zenith VoIP or its licensors.
Users may not copy, modify, distribute, reverse engineer, or create derivative works without written permission.
11. Privacy
Your use of our services is also governed by our Privacy Policy.
By using our services, you consent to the collection, processing, and use of information as described in our Privacy Policy.
12. Limitation of Liability
To the maximum extent permitted by law, Zenith VoIP shall not be liable for:
- Indirect damages.
- Consequential damages.
- Loss of profits.
- Loss of business opportunities.
- Data loss.
- Service interruptions.
Our total liability shall not exceed the amount paid by the customer for services during the preceding three (3) months.
13. Indemnification
You agree to indemnify and hold harmless Zenith VoIP, its officers, employees, affiliates, and partners from any claims, liabilities, damages, losses, and expenses arising from:
- Your use of the services.
- Violation of these Terms.
- Violation of applicable laws or third-party rights.
14. Termination
We may suspend or terminate your account immediately if:
- You violate these Terms.
- Required payments are not made.
- Your activities create legal, regulatory, or operational risks.
You may terminate your account by providing written notice in accordance with your service agreement.
15. Disclaimer of Warranties
Services are provided on an “AS IS” and “AS AVAILABLE” basis.
Zenith VoIP makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.
17. Dispute Resolution
Any dispute arising from these Terms shall first be addressed through good-faith negotiations.
If a dispute cannot be resolved informally, it shall be submitted to binding arbitration in Delaware, United States, except where prohibited by law.
18. Changes to These Terms
Zenith VoIP reserves the right to update these Terms at any time.
Updated versions will be posted on this page with a revised effective date. Continued use of the services constitutes acceptance of the updated Terms.
